1. Agreement
These Terms of Service ("Terms") form a binding agreement between you and SeedQL ("SeedQL," "we," "us," "our") governing your access to and use of the service provided at seedql.io (the "Service"). By creating an account, accessing, or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 16 years old and able to form a binding contract under applicable law to use the Service. If you accept these Terms on behalf of an entity, you represent that you have the authority to bind that entity, and "you" refers to the entity.
3. The Service
SeedQL generates synthetic test data for development, testing, and evaluation purposes against databases you are authorised to write to. The Service includes a web UI, an API, and (on applicable tiers) integrations with version-control and CI/CD providers. Tier capabilities and quotas are described on the Pricing page and may change as the product evolves.
4. Account responsibility
- You are responsible for the accuracy of registration information.
- You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
- You will notify us promptly at legal@seedql.io if you believe your account has been compromised.
- You are responsible for the database credentials and connection details you supply, and for ensuring you are authorised to write synthetic data to the targets you configure.
5. Acceptable use
You agree not to:
- Use the Service to target databases or systems you do not own or have explicit, lawful authorisation to write to.
- Circumvent rate limits, tier quotas, billing, authentication, or other technical access controls.
- Reverse-engineer, decompile, scrape, or otherwise attempt to extract source code, models, or service internals, except to the extent expressly permitted by applicable law.
- Use the Service to generate, distribute, or facilitate content that violates applicable law, infringes third-party rights, or contains malware.
- Resell, sublicense, or white-label the Service without our prior written consent.
- Use the Service to build a competing product or to benchmark it for the purpose of building a competing product.
- Interfere with or disrupt the integrity or performance of the Service or the data it processes.
We may suspend or terminate accounts that violate these rules. Where practical, we'll give notice and an opportunity to cure; where the violation is severe (e.g. abuse, fraud, security threat), we may act immediately.
6. Support, donations, and feature unlocks
- Free tier. The Hobby tier is free and requires no payment. You can use SeedQL indefinitely at no cost.
- Donations. SeedQL is an independent project supported by voluntary donations through Buy Me a Coffee, a third-party platform that processes payments. Donating is optional and is a contribution to the project's development — not a purchase of a guaranteed service level.
- Feature unlocks. After a donation, we may unlock the corresponding feature tier (Supporter, Sponsor, or Patron) on your account, typically within 24 hours. Unlocks are applied manually and at our discretion.
- No invoices or overage. We do not issue invoices or bill usage-based overage. If you reach your tier's row quota you can request a higher tier or additional row packs by donating; nothing is ever charged automatically by us.
- Recurring memberships. If you choose a recurring Buy Me a Coffee membership, that recurrence is managed by Buy Me a Coffee under its own terms, and you can cancel it there at any time.
- No guarantee. Donations support an indie project and do not guarantee uninterrupted availability, specific features, or a defined service level. Refunds, where applicable, are handled by Buy Me a Coffee under its policies.
- Changes. We may change tiers, quotas, or the donation model. Material changes will be reflected on the Pricing and Support pages.
7. Cancellation and refunds
- Cancellation. You may cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period; you retain access until then.
- Refunds. Subscription fees are generally non-refundable. We may, at our discretion, prorate or refund charges in cases of confirmed billing error or service outages affecting your subscription. Refund requests: legal@seedql.io.
- Trial. Paid tiers include a 14-day free trial as displayed at checkout. You can cancel during the trial and incur no charge. After the trial, your card is charged for the selected tier at the displayed rate.
8. Service availability and beta features
The Service is provided on an as-available basis. We work to keep it running but do not currently offer a service-level agreement (SLA). Scheduled maintenance and incident notifications are surfaced through the public status channel referenced from our documentation.
SeedQL is in active development. Features marked "beta," "preview," or "coming soon" may behave differently than documented, be limited in availability, or be withdrawn at any time. We may add, change, or remove features as the product evolves.
9. Intellectual property
We retain all right, title, and interest in the Service, including the software, models, content, and trademarks, except as expressly licensed to you in these Terms. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Service in accordance with these Terms for the duration of your subscription.
You retain ownership of the schemas, templates, custom rules, and connection metadata you supply. You grant us a worldwide, royalty- free licence to host, process, and transmit your inputs solely as necessary to operate the Service for you. Synthetic data generated by the Service is yours; we do not retain it (see Privacy Policy §3).
Feedback you provide about the Service is non-confidential and may be used by us without restriction or compensation.
10. Third-party services and sub-processors
The Service relies on third-party sub-processors listed in our Privacy Policy §6 (Buy Me a Coffee, Supabase, Cloudflare, Resend, Vercel, Railway, Sentry). Your use of those services via SeedQL is subject to their respective terms; we are not responsible for their acts or omissions outside the scope of our agreements with them.
11. Suspension and termination
You may terminate your subscription at any time per §7. We may suspend or terminate access for material breach of these Terms, for non-payment, for activity that risks legal exposure or harm to others, or if we discontinue the Service. We'll give reasonable notice except where immediate action is necessary.
On termination, your right to access the Service ends, and we will delete account data per the Privacy Policy retention schedule. Sections intended to survive termination (e.g. intellectual property, disclaimers, limitations of liability, indemnity, governing law) survive.
12. Disclaimers
[Placeholder — to be confirmed by legal review] The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non- infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected.
Synthetic data generated by the Service is statistically realistic test data; it is not a substitute for professional advice (legal, medical, financial, or otherwise) and must not be used in production decision-making without your own validation.
13. Limitation of liability
[Placeholder — to be confirmed by legal review] To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, arising out of or related to these Terms or the Service, whether in contract, tort, or otherwise, even if advised of the possibility of such damages.
Our aggregate liability arising out of or related to these Terms will not exceed the greater of (a) the amounts you paid to us for the Service in the 12 months preceding the event giving rise to the claim, or (b) USD 100.
14. Indemnity
[Placeholder — to be confirmed by legal review] You will defend, indemnify, and hold harmless SeedQL and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service in breach of these Terms, (b) your violation of applicable law or third-party rights, or (c) your inputs (schemas, credentials, templates) supplied to the Service.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email and reflected in the "Last updated" date at the top of this page at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
16. Governing law and disputes
[Placeholder — to be set after legal review] These Terms are governed by the laws of [jurisdiction TBD], without regard to its conflict-of-laws principles. The exclusive forum for disputes will be set during legal review. Nothing in these Terms limits any non-waivable consumer protection rights you have under applicable law.
17. Miscellaneous
- Entire agreement. These Terms together with the Privacy Policy and any subscription order form constitute the entire agreement between you and us regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
- Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
